So, what's the catch? I think older pc's will not be capable of running Win 7 and XP mode due to the demands on the hardware and various software/hardware requirements. It also sets up all hardware to work seamlessly with XP Pro and Win 7. Then, it sets up a virtual machine that allows you to run XP Professional in a window in Win 7. What XP mode appears to be is this: the install repartitions about 125 GB (at least on my setup) of hard drive and installs XP Professional w/ SP3 within.
